Terms of Service

These terms govern your use of Shout ("the Software"), developed and published by Shout Limited ("we", "us", "our"), a company registered in New Zealand. By purchasing or using the Software, you agree to these terms.

Purchase & Billing

Shout is available as a one-time lifetime license or as a subscription, depending on current availability. All payments are processed by LemonSqueezy, our merchant of record. LemonSqueezy handles taxes, invoicing, and payment processing on our behalf. By purchasing a license or subscription, you also agree to LemonSqueezy's Terms of Service.

License Grant

Lifetime license: Upon purchase, we grant you a perpetual, non-exclusive, non-transferable license to install and use Shout on unlimited macOS devices that you personally own and operate.

Subscription: While your subscription is active, we grant you a non-exclusive, non-transferable license to install and use Shout on unlimited macOS devices that you personally own and operate.

Both license types are for personal or internal business use.

Restrictions

  • You may not redistribute, sublicense, rent, or lease the Software
  • You may not reverse-engineer, decompile, or disassemble the Software
  • You may not remove or alter any proprietary notices or labels
  • You may not use the Software to provide transcription as a service to third parties

Intellectual Property

Shout, including its code, design, and documentation, is the intellectual property of Shout Limited and is protected by copyright law. Your license grants usage rights only — ownership of the Software remains with us.

Your Content

All audio recordings, transcriptions, and other content you create using Shout belong entirely to you. We claim no rights to your content. Since all processing happens locally on your device, we never have access to your content.

Cancellation

Lifetime licenses do not require cancellation. For subscriptions, you may cancel at any time. Upon cancellation, you will retain access to Shout until the end of your current billing period. No partial refunds are issued for unused time within a billing period unless within the 7-day grace period (see Refund Policy).

Refund Policy

We offer a 7-day refund window after your first payment. If you are not satisfied with Shout, contact us within 7 days for a full refund. See our full Refund Policy for details.

Updates

Your license includes all updates to Shout at no additional cost. Updates are delivered through the application and may include new features, performance improvements, and compatibility fixes.

Disclaimer of Warranties

Shout is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Shout Limited be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Software. Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

Governing Law

These terms are governed by the laws of New Zealand. Any disputes arising from these terms or your use of the Software shall be resolved in the courts of New Zealand.

Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or through the application. Continued use of Shout after changes constitutes acceptance of the updated terms.
